Social Media Plug-in

Our Site uses plugins from social networks like Facebook, Instagram, Twitter, and LinkedIn. These plugins are indicated by the social networks’ respective logos. When you access our Site, your browser establishes a direct connection with the servers of these social networks. The plugin content is transferred by the social network directly to your browser, which then integrates into our Site.

Integration of the plugin allows the social media networks to receive the information that you have loaded onto the corresponding page of Site. If you are logged in with Facebook, for example, it will be able to assign your visit to your account. An exchange of this information already takes place when you visit our site, regardless of whether you interact with the plugin or not. If you interact with the plugins, the corresponding information is sent directly to Facebook by your browser and saved there. 8. CONTROLS FOR DO-NOT-TRACK FEATURES

No uniform technology standard for recognizing and implementing DNT signals has been finalized. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Emleorate Corp (“Company”, “we”, “us”, or “our”), concerning your access to and use of the emleorate.com or bedderpan.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. 8. Your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
9. Your Contributions do not violate any applicable law, regulation, or rule.
10. Your Contributions do not violate the privacy or publicity rights of any third party.
11. Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 years or exploits people under the age of 18 in a sexual or violent manner.
12. Your Contributions do not violate any federal or state law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
13. Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
14. Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

Any use of the Site in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Site.

CONTRIBUTION LICENSE

You and the Site agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy.

We do not assert any ownership over your Contributions. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

GOVERNING LAW

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts applicable to agreements made and to be entirely performed within the Commonwealth of Massachusetts, without regard to its conflict of law principles.

DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in the United States, Massachusetts. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgement on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in United States, Massachusetts, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded from these Terms of Use.

If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

CORRECTIONS

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

RETURNS POLICY

*Currently, Emleorate only offers the bedderpan and the bedderpan with fracture bedpan, thus this Returns Policy is more specific than typical Returns Policies.

If the buyer purchased a product through an Emleorate affiliated website (emleorate.com or bedderpan.com) or Amazon (from Bedderpan seller), refer to the policies below.

AMAZON: Please contact Emleorate through the “Contact this seller” link for assistance with returns.

AUTHORIZATION

All returns require Return Authorization (RA). The buyer has 30 days after date of delivery to request RA. Any request after the 30 day period will not receive RA.

EMLEORATE: To obtain RA, contact Customer Service, providing a reason for the return. To expedite the return process, have relevant images/video, receipts, invoices, and purchase orders prepared to send. Customer Service will respond within 24 hours of your notification.

AMAZON: Amazon controls Return Authorization and provides a return label for the buyer’s request. Contact Amazon support for any issues regarding authorization and the return label.

REFUNDS

*The buyer changes their mind and returns the item for one of the following reasons: Accidental order | Better price available | No longer needed/wanted

DAMAGED OR WRONG PRODUCT

Take pictures and share them with Emleorate so that they can make a proper evaluation, then refer to “Returning to Emleorate”.

ORIGINAL CONDITION

A product is only considered in the original condition if it is unopened or unremoved from the sealed plastic bag. Any opened product cannot be guaranteed to be unused. To receive a full refund, the returned product must be in original and untampered sealed plastic bag.

RETURNLESS REFUND

Buyers eligible for a return can opt in for a Returnless Refund. Those who choose this option will receive a 50% refund, but are able to keep the product. Those already expecting a 50% refund due to refund policy are recommended to opt for a Returnless Refund.

Contact Emleorate if a Returnless Refund is desired. DO NOT return the Bedderpan. Emleorate then will close the return case and initiate a 50% refund within 24 hours.

Emleorate will not resell any used Bedderpans so that all buyers can be confident they are getting a new bedpan. Emleorate can’t guarantee an opened product is unused. Therefore, any product returned not in the original condition will be recycled immediately. The Returnless Refund is in place to save time for all parties, as well as help the environment by reducing the carbon footprint.

RETURNING TO EMLEORATE

EMLEORATE: Emleorate will email the buyer a return label.

AMAZON: Amazon will provide a return label. The buyer should be able to access it in the Returns Center.

Attach the return label to the return package and drop it off at the appropriate delivery service. Refunds will be issued once Emleorate receives and evaluates the return. Please allow 1-2 weeks after the returned product is delivered to process any refund.

DEADLINES

Products, even if damaged, must be returned within 30 days after receiving Return Authorization for a full refund. Any returns after these deadlines are considered late.

NOTES

• This Return Policy is subject to change without notice by Emleorate and are further subject to modification as Emleorate may deem necessary to comply with applicable laws, guidelines, and regulations.
• Make sure to have all pictures, receipts, invoices, purchase orders, and packaging accessible for all returns.
• The acceptability, valuation, and acceptance of any return is at the sole discretion of Emleorate.
• If the buyer needs a replacement Bedderpan, it’s faster to order a new product and get a refund for the original purchase than to wait for Emleorate to process the return and send a replacement.
• Emleorate is not responsible for returns from 3rd party vendors. Refer to the vendor’s Return Policy for assistance.
• Any unauthorized return will not receive a refund.
